HyprDoc LLC ("We", "Us", "Our") provides an advanced dynamic document building and electronic signature platform. By accessing or using our services, you agree to be bound by these Terms and our Privacy Policy.
Beta Disclaimer
HyprDoc is currently in public beta. Features may change without notice. While we prioritize data integrity, unexpected issues may occur. We recommend maintaining local backups of critical legal documents during this period.
Legal Disclaimer
HyprDoc is a technology platform, not a law firm. We do not provide legal advice. You are solely responsible for the legal validity and enforceability of your documents.
1. Definitions
- AffiliateEntity controlling, controlled by, or under common control with a party.
- Authorized UserIndividuals authorized by You to use the platform via credentials.
- Confidential InfoNon-public proprietary, business, technical, or legal data.
- Customer ContentData, documents, and assets processed by You.
- ServicesThe holistic HyprDoc document intelligence ecosystem.
2. Grant of License
Subject to compliance with these Terms, We grant You a non-exclusive, non-transferrable right to access and use the platform. Your usage is defined strictly by the "Usage Metrics" outlined in your subscription plan.

3. Reasonable Use Policy
HyprDoc is a multi-tenant cloud environment. To ensure reliability for all participants, we implement a Reasonable Use Policy (RUP).
- Throttling: We reserve the right to prioritize traffic to prevent degradation.
- Allowances: Exceeding your envelope allowance or API limits may trigger overage billing.
4. E-Signatures & Validity
We leverage industrial-grade cryptographic sealing. Every signed document is accompanied by a tamper-evident audit trail including hashes, timestamps, and IP addresses.
5. AI Features
Our Large Language Model (LLM) integrations provide advanced clause drafting and logic suggestions.
- No Warranty: AI hallucinations are a technical reality. We disclaim all liability for AI errors.
- Ownership: Generated output ownership is subject to local Intellectual Property laws.
6. Acceptable Use (AUP)
You agree not to use the platform for:
- Illegal Document Proliferation
- Phishing & Identity Deception
- Malware Distribution
- Unauthorized Debt Collection
- Regulated Weaponry Transactions
- Benchmarking/Scraping
7. Intellectual Property
You retain 100% title to Your Customer Content. We own the Services, Documentation, and the underlying binary architecture of the HyprDoc platform. You grant Us a limited license to host and process Your content solely for providing the Services.
8. Service Level (SLA)
We target 99.9% platform availability, excluding scheduled maintenance windows and upstream provider outages (e.g. AWS/Vercel).
9. Fees & Payment
Billing: Processed securely via Polar.sh. Multi-currency and tax-aware.
Taxes: You are responsible for all VAT, GST, and Consumption taxes in your specific jurisdiction.
Refunds: Subscription fees are non-refundable except as required by applicable consumer law.
10. Confidentiality
We treat Your data as mission-critical trade secrets. We maintain industry-standard physical and logical access controls to ensure your envelopes remain private and secure.
11. Indemnification
- Our Promise: We indemnify You for IP infringement claims arising from our platform's core architecture.
- Your Promise: You indemnify Us for claims arising from illegal usage or prohibited customer content.
12. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY IS CAPPED AT THE FEES PAID BY YOU IN THE LAST 12 MONTHS OR $100 USD (WHICHEVER IS GREATER). This limitation is a fundamental element of the basis of the bargain between Us and You.
13. Governing Law
Wyoming Jurisdiction: All disputes shall be resolved via binding AAA arbitration in Wyoming. You waive your right to a jury trial or class action participation.
14. General Provisions
- Export Control: Do not use HyprDoc if you are on a U.S. government denied-party list.
- Force Majeure: Neither party is liable for failure to perform due to acts of God, internet outages, or other uncontrollable events.
15. Termination
Failure to comply with these terms may result in immediate account suspension. We reserve the right to modify these terms at any time, with notice provided for material changes.
